How To Choose A Legal Structure For Your Business

Whether you are starting a small business from your home or opening a new, large operation, you will need to decide which business structure is better suited to you and your company’s needs. There are four basic types of business structures: sole-proprietorships, partnerships, corporations and limited liabilities companies. The type of structure you choose will be determined by the type of business you own, the size of the business and many other individual actors. To make the best choice it is usually necessary to seek the advice of a lawyer that specializes in business law.

Before consulting a lawyer, however, it is a good idea to understand your options. The first option, sole-proprietorship, can only be used by an individual that is the only owner of the company. The only exception to this rule is if the owners are husband and wife. In a sole-proprietorship there is one very distinctive advantage and one equally distinctive disadvantage. The advantage to this structure is that there is no legal requirement necessary to form it. This means that you can create a sole-proprietorship for little if any cost and maintain it without further paperwork or legal filings. The disadvantage to this structure is that the individual that forms the sole-proprietorship is solely responsible for any debts incurred by the business. For example, if a customer were to sue your company, your personal assets could be used to pay off any judgment against your business.

In a partnership two separate individuals must own the business and the individuals must choose not to incorporate. As with a sole-proprietorship, no legal filings are required to establish this business structure but it is highly recommended that you at the very least draft an agreement between all parties involved. This document or contract can be drawn up by the partners but it is more advantageous to have a lawyer that specializes in business law draw it up for you. If you choose to draw up the contract yourself, be sure to include information regarding the financial responsibilities of each partner, the terms for the sharing of profits and losses and the responsibilities in decision making for each partner.

If you are thinking about choosing a corporation as your business structure it is important to know that each state sets forth its own requirements for the formation of a corporation. For details about these requirements it is best to consult a lawyer.

The advantage to organizing a corporation is that the liability for the company is limited to only what an individual puts into the company. This means that each individual owner does not have to worry about his or her personal finances or assets seized to pay off company debt.

The disadvantage to owning a corporation is the time it takes to maintain one. In a corporation, the company must elect a board of directors, write articles of incorporation and issue stock. Owners must also attend shareholder meetings and follow all corporate guidelines while running the business. Unless you own a large company with multiple employees, a corporation is usually not necessary.

Perhaps the best business structure is a limited liability company. This structure includes the advantages of each structure while minimizing the disadvantages. For example, in a limited liability company, the owners are not held personally responsible for company debt yet they are still able to run their company without issuing stock or holding corporate meetings. The biggest disadvantage is that there are legal requirements needed to create a limited liability company and an attorney must do the paperwork necessary to create one.

As with all legal agreements, there are many complex issues to keep in mind when making a decision. No matter which type of business structure you are likely to choose, it is best to consult a lawyer for advice on which structure with offer your company the best tax situation while still allowing protection for your assets.

Good Health–In Steps

In steps as in walking. Yes, Walking. While walking this morning, I kept the thought of my topic for my next article uppermost in my mind. As I turned the corner onto my street, the thought came to mewrite an article about the health benefits of walking.

Walking at 5 a.m. year around in Phoenix Arizona, a.k.a. ‘The Valley’ is lovelythe majority of people are sleeping and the temperature is still cool. I remember the days I walked in South Dakota when the temperature was 50 below zero including the wind chill. I lived in New York and New Jersey metro area 28 years where the temperature reaches minus zero on occasion. Thus, walking in Arizona year around is a dream come true, even though the temperature reaches 110-112 (or higher) several days in the summer5 a.m. is a cool 70-80 degrees.

According to researchers, if you walk 30-45 minutes twice a day, you will avoid heart disease, kidney disease, stress related diseases, diabetes or any metabolism problems. Don’t forget to hydrate while you walkespecially in the summer.

I heard those moans, groans and screams from here. Who has 60-90 minutes a day to invest in walking?” OK. Rephrase that. Who has 20-30 years to invest in poor health? That is the average number of years the majority of people suffer with various life threatening diseases. I know I don’t. I want to keep on until I am 110 and then decide when I will leave this earth plane. OK, that is me. You can live a healthy life into your 90’s and not die from a disease. You can die because you don’t want to be on this earth plane anymore by simply going to sleep and not waking up.

“Twenty-nine million Americans are in medical debt,” says Jennifer Edwards of the Commonwealth Fund, a private foundation that supports research on health and social issues. A recent Commonwealth study defined those in medical debt as paying bills to health care providers or having large credit card debt or loans against their homes related to medical costs.

“Of those, 70% were insured when they got the health care that put them in debt, and nearly half had used up all or most of their savings,” Edwards said.

I enjoy an early morning walk; the air smells fresher after a few hours with less air pollution and noise. Not to mention I enjoy seeing raccoon, rabbit, coyote, skunk, etc. scurrying to their hide-out for the day. They look at me as if to say, ‘What are you doing here?’

You can multi-task while walkingmeditation, creative thinking, or soul thinking.

Now that you know from research that 30 to 45 minutes of walk twice a day will make a huge impact on your health or diseaseyou decide. If you can’t walk 30 to 45 minutes every day even 30 minutes three or four days a week is beneficial.

Los Angeles Personal Injury Lawsuits

In several instances, personal injury claims are settled before they reach the court. But if the negotiations fail, the plaintiff’s (the injured person who is making the claim) lawyer takes the necessary steps to file a civil lawsuit.

The first question is to decide on the jurisdiction. In simple language this means the court to which the complaint or petition is to be submitted. This can be rather complicated. Primarily, the state court where the incident leading to the injury took place has the jurisdiction. If the plaintiff lives in Los Angeles and the other party lives in another state, the complaint has to be submitted before the U.S. District Court in Los Angeles. If the demand is for a small amount, it should go to the appropriate small claims court.

The petition should briefly state the facts of the case. Then, documents have to be produced and depositions made. After that comes the trial. First of all, a jury has to be selected. In claims involving large amounts, this process could be a heated one. Once the jury is settled, the witnesses are examined, followed by cross- examination. There could be two types of witnesses in personal injury lawsuits. One is a direct witness, that is, a person who actually saw the incident that led to the injury. The other is an expert witness.

Then there are arguments and counter-arguments. Directions to the jury by the presiding judge follow this. After that, the jury contemplates all aspects of the case and, more often than not, arrives at a verdict.

A claim for damages in a personal injury case can originate on three grounds: negligence, strict liability (which also covers defective products), and intentional action. To win a personal injury lawsuit it has to be proved that one of these grounds existed, and caused the plaintiff’s injury.

As is the case with all lawsuits, the plaintiff’s total support to his attorney is essential for the successful outcome of the litigation.

How To Give Notice of Copyright On Your Works

The use of a copyright notice is no longer required under U. S. law, but you should still give notice whenever possible. Because prior law did contain such a requirement, however, the use of notice is still relevant to the copyright status of older works.

Under the 1976 Copyright Act, creators of covered works were required to give notice of copyright on the work in question. This requirement was eliminated when the United States signed onto the Berne Convention in March 1989.

You should give notice of copyright whenever possible because it puts the public on notice that the work is protected by copyright, identifies the copyright owner, and shows the year of first publication. Furthermore, in the event that a work is infringed, if a proper notice of copyright appears on the published copy or copies to which a defendant in a copyright infringement suit had access, then the defendant can’t claim innocent infringement as a defense. Innocent infringement occurs when the infringer did not realize that the work was protected.

The use of the copyright notice is the responsibility of the copyright owner and does not require advance permission from, or registration with, the Copyright Office.

Form of Notice for Visually Perceptible Copies

The notice for visually perceptible copies should contain all the following three elements:

1. The symbol © (the letter C in a circle), or the word “Copyright”;

2. The year of first publication of the work. The year date may be omitted where a pictorial, graphic, or sculptural work, with accompanying textual matter, if any, is reproduced in or on greeting cards, postcards, stationery, jewelry, dolls, toys, or any useful article; and

3. The name of the owner of copyright in the work, or an abbreviation by which the name can be recognized.

Digging Up Earthnuts (Conopodium Majus)

The custom of grubbing for Earthnuts, or Pignuts is as ancient as mankind itself. Although these tasty tubers are beloved of pigs (hence the name) they are a most unusual and rewarding woodland snack and there was a time when they were a popular nibble for country children on their way to and from school.

The fern like leaves appear along with the Lesser Celandine in the spring. During May and July they develop umbellifer heads with white flowers not unlike Cow Parsley. According to Gerard and others the Dutch once ate them ‘boiled and buttered, as we do parseneps and carrots’. Unearthing a pignut is a delicate operation. The root disconnects from the tuber very easily, which can be several inches from where the stem appears above ground.

Follow the stem under the earth using careful scraping with a twig, fingernail or knife. Eventually you will reach the pignut which is covered with a chestnut coloured skin. If you can wash the nut at this stage it avoids getting muddy fingernails while peeling. As soon as I found the one shown in the picture, an earthworm appeared and dived into the hole it left!

Scrape off the papery outer coating to reveal the Earthnut. The older name for Earthnuts is ‘Earth Chestnuts’ and this gives you a clue to their taste - a chestnut texture but with a more earthy taste. There’s nothing like carefully digging one of these up during a walk in the woods. Do it with your fingernails. As the earthy taste hits the senses you are drawn more completely into contact with the nature around you. A true ‘pomme de terre’.

Gerard’s Herbal mentions that ‘There is a Plaister made of the seeds hereof, whereof to write in this place were impertinent to our historie’….Probably witches again! Earthnuts get a mention in Shakespeare’s ‘Tempest’, from Caliban as he promises:

“I prithee, let me bring thee where crabs grow;

And with my long nails I will dig thee pignuts”.

Best Cookies: Sweet Potato Spice Bars

If you love sweet potato pie and candied yams, you’ll rave over these sweet potato cookie bars.

Each bite contains golden raisins, spices, and sweet potatoes, topped off with rich cream cheese. Comfort food never tasted so good.

Sweet Potato Spice Bars

4 eggs
2 cups sugar
1 cup vegetable oil
1 16-oz. Can sweet potatoes or yams, drained
1 teaspoon vanilla
2 cups all-purpose flour
2 teaspoons baking powder
1 teaspoon ground cinnamon
1 teaspoon baking soda
teaspoon salt
teaspoon ground allspice
cup golden raisins
1 teaspoon grated orange rind
Cream Cheese Frosting

Directions

Heat oven to 350 degrees.

Grease jelly roll pan, 15 1/2×10 1/2×1-inch. Beat eggs, sugar, oil, vanilla and sweet potatoes. Stir in flour, baking powder, cinnamon, baking soda, salt and allspice.

Mix in raisins and orange rind. Pour batter into pan. Bake until brown, 25 to 30 minutes. Cool. Frost with Cream Cheese Frosting Sprinkle with nuts.

Cut into bars about 2×1 inches. Refrigerate until ready to serve.

Cream Cheese Frosting

Mix a 3-oz. Package cream cheese (softened); cup plus 2 tablespoons butter or margarine (softened) and 1 teaspoon vanilla. Gradually beat in 2 cups powdered sugar until smooth and of spreading consistency.
